DUBAI-Adani Airport Holdings Limited (AAHL) is preparing to raise approximately $1 billion in fresh equity from a consortium of major global and Indian investors as it moves to expand airport capacity and develop commercial projects around its facilities.

The investment, equivalent to about ₹9,825 crore, will come from Alpha Wave Global, Premji Invest, Temasek and funds managed by BlackRock.

The transaction values AAHL at approximately $18 billion before the new investment, with the investors expected to acquire a combined 5.54% stake once the fundraising is completed.

The new shares will be issued in three tranches, with the final tranche expected to be completed by July 2027. The transaction remains subject to customary closing conditions and regulatory approvals.

Capacity targeted at 200 million passengers

A significant portion of the capital will be directed towards expanding and modernising airports within AAHL’s portfolio.

The company expects the planned investments to increase its overall airport capacity to approximately 200 million passengers annually.

Funding will also support passenger services, ground-handling operations and other non-aeronautical businesses designed to increase revenues beyond traditional airport operations.

22 million sq ft airport-city development planned

AAHL also plans to develop integrated Adani Airport City projects around its airports, with approximately 22 million square feet of mixed-use development planned during the first phase.

The projects are expected to combine airport infrastructure with commercial, business and other city-side developments, forming what the company describes as an integrated airport ecosystem.

The strategy is intended to transform airports into broader commercial hubs while creating additional sources of revenue from retail, hospitality, offices and other non-aviation activities.

Major investment in India’s airport sector

AAHL is a subsidiary of Adani Enterprises Limited and is among India’s largest private airport operators.

The latest fundraising represents one of the largest primary equity investments by financial institutions in India’s airport infrastructure sector.

The deal follows Adani Enterprises’ ₹15,000 crore qualified institutional placement in July 2026, which the company described as the largest QIP by a non-financial corporate in India.

The fresh capital is expected to strengthen AAHL’s ability to meet rising passenger demand while accelerating the development of large-scale commercial projects around its airport network.
